1. Acceptance of Terms
By accessing and using Taxably ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. Taxably is a service I provide through Shah Tax Advisory, my professional tax advisory practice. If you do not agree to these terms, please do not use the Service.
2. Description of Service
Taxably is an AI-powered tax guidance platform that I've built to provide information and insights based on IRS publications, Treasury regulations, tax court cases, and other authoritative tax sources. The Service:
- Provides AI-generated responses to tax-related questions
- Cites sources from official tax documents and regulations
- Is designed for my clients and prospects
- Integrates with TaxDome client portal for existing clients
- Offers different subscription tiers with varying query limits
3. Not Professional Tax Advice
IMPORTANT DISCLAIMER:
Taxably is an informational tool and does NOT constitute professional tax advice, legal advice, or accounting services. While my AI is trained on authoritative tax sources, it is not a substitute for personalized consultation with me or another qualified tax professional.
You acknowledge and agree that:
- AI-generated responses may contain errors or inaccuracies
- Tax laws are complex and subject to interpretation
- Your specific situation may require professional analysis
- You should verify all information with a licensed tax professional
- No attorney-client or accountant-client relationship is created through use of this Service
4. User Account and Access
To use Taxably, you must:
- Be at least 18 years of age
- Be a client of Shah Tax Advisory
- Sign in through your TaxDome client portal at portal.shahtaxadvisory.com
- Maintain the security of your TaxDome credentials
- Notify me immediately of any unauthorized access
- Accept responsibility for all activities under your account
Access to Taxably is exclusive to my clients. You authenticate through your TaxDome client portal.
5. Acceptable Use Policy
You agree NOT to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to my systems
- Share your account credentials with others
- Circumvent usage limits or subscription restrictions
- Scrape, copy, or redistribute my AI responses in bulk
- Use the Service to provide tax advice to third parties for compensation
- Reverse engineer or attempt to extract my proprietary knowledge base
- Submit false, misleading, or fraudulent information
- Interfere with the proper functioning of the Service
6. Subscription Plans and Payment
6.1 Service Tiers
- Free Library Access: 20 queries per day with full access to general tax library (TaxDome clients only)
- Extended Library Plan ($15/month): Unlimited queries with same comprehensive tax library via Stripe payment link
- Premium Full User ($100/month): Unlimited queries plus personalized access to YOUR tax documents from TaxDome via Stripe payment link
6.2 Billing
Premium subscriptions are billed on a recurring basis. You authorize me to charge your payment method for all fees. Fees are non-refundable except as required by law.
6.3 Cancellation
You may cancel your subscription at any time. Your access will continue until the end of the current billing period.
7. Intellectual Property
All content, features, and functionality of Taxably, including but not limited to text, graphics, logos, icons, images, and software, are my property and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of the questions and information you submit. By using the Service, you grant me a license to use your inputs to provide the Service and improve my AI models.
8. Data Privacy and Security
Your use of the Service is also governed by my Privacy Policy. I implement reasonable security measures to protect your information, but I cannot guarantee absolute security. You use the Service at your own risk.
9. Limitations of Liability
LIABILITY DISCLAIMER:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, I SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
I make no warranties or representations about the accuracy, completeness, or timeliness of the information provided through Taxably. Tax laws change frequently, and AI responses may not reflect the most current information.
10. Indemnification
You agree to indemnify, defend, and hold harmless Shah Tax Advisory and me from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.
11. Termination
I reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. I may also delete your account and data in accordance with my data retention policies.
12. Changes to Terms
I reserve the right to modify these Terms at any time. I will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State where Shah Tax Advisory is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in that state.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
